Commercial property searches typically include: local authority search (planning, road adoption, enforcement notices), drainage and water search, environmental search (particularly important for industrial and development land), energy and utilities searches, and in some cases a chancel repair search. Additional bespoke searches may be required depending on the location and nature of the property.
A Transfer of a Going Concern is a VAT concept that applies when a business — including its commercial property — is transferred as a whole. Where TOGC conditions are met, the transaction is treated as outside the scope of VAT, meaning no VAT is charged on the purchase price. This can result in significant savings (VAT on a commercial property transaction can be 20%). Our solicitors advise on TOGC eligibility and the conditions that must be met.
A break clause is a provision in a commercial lease that allows one or both parties to terminate the lease early on a specific date or dates, or after a minimum period.
